Who these terms are between
Cortex is provided by BK Human Fund Pty Ltd (ABN 20 613 204 621), of Victoria, Australia, trading as Cortex (“Cortex”, “we”, “us”). “You” means the business that installs Cortex on its Shopify store, and the people who use Cortex on its behalf.
The service
Cortex keeps a Shopify store and a Retail Express account in step. It syncs products, inventory, orders, customers, refunds, returns, exchanges and fulfilments between them along the mappings you set, holds conflicts for a person to resolve, and includes an MCP server through which an AI assistant can operate it.
Who can use it
You need a Shopify store and a Retail Express account, and you must be authorised to connect both to Cortex.
Your responsibilities
Once you switch a sync on, Cortex writes real data to both systems. You are responsible for:
- the mappings and settings you save, which decide what Cortex writes and where;
- reviewing and resolving the conflicts and approvals Cortex holds for you in Sync history;
- who you give access to in Cortex, and what each person is allowed to do.
Fees and billing
The plans and their prices are set out on the Pricing page.
- Shopify bills you for Cortex, under Shopify’s own billing terms. The charges appear on your Shopify invoice.
- Every plan starts with a 30-day free trial.
- Each plan includes a number of synced orders a month. Orders beyond that number are charged at the plan’s rate for each order.
- You change or cancel your plan from your Shopify admin.
- We may change our prices, and will give you at least 30 days’ notice before a change takes effect.
Without an active plan, syncing stops and the app shows only the plan screen. Your settings, mappings and history are kept.
Acceptable use
You must not:
- reverse engineer Cortex;
- abuse the application’s API or its MCP server, or use either to harm Cortex, Shopify, Retail Express or anyone else;
- go around the rate limits Cortex applies.
Your data
You keep ownership of your data. You grant Cortex the rights it needs to provide the service to you: to read your data from Shopify and Retail Express, to write it to each as your mappings direct, and to store what the service requires.
Privacy
The Privacy policy describes how Cortex handles personal information. Cortex processes your customers’ personal information on your instructions; you remain responsible for it as its controller.
AI assistants
An AI assistant connected to Cortex through the MCP server acts with the capabilities of the store member who connected it. That member is responsible for what the assistant does and for each action they approve.
Availability
We provide Cortex with reasonable care. We do not guarantee that it will be available without interruption, and it may be unavailable from time to time for maintenance.
Shopify and Retail Express
Cortex depends on Shopify and Retail Express, which we do not control. We are not responsible for their availability, their changes or their conduct.
“Shopify” and “Retail Express” are trademarks of their respective owners. Cortex is independent of Maropost, the owner of Retail Express, and is not endorsed by it.
Suspension and ending
You may stop using Cortex at any time by cancelling your plan or uninstalling the app from your Shopify admin. We may suspend or end your access if you breach these terms.
What happens to your data when you uninstall is set out in the Privacy policy.
Consumer guarantees and liability
Nothing in these terms excludes, restricts or modifies a guarantee or right you have under the Australian Consumer Law that cannot lawfully be excluded.
Otherwise, and to the extent the law allows:
- our total liability to you is limited to the fees you paid for Cortex in the 12 months before the claim arose;
- we are not liable for indirect or consequential loss.
Indemnity
You indemnify us against loss we suffer because you misused Cortex or breached these terms.
Changes to these terms
When these terms change, the new version is published on this page with the date it was last updated. Using Cortex after a change means you accept the new terms.
Governing law
These terms are governed by the law of Victoria, Australia.
